Co-ownership

Co-own vetted companies and real estate

Become a co-owner of local companies and real estate projects. Your capital helps them grow and create jobs, and you share in the returns from dividends or the sale of your stake, with preferred investor status.

Why co-own

Direct access to investments in private companies. Transaction documentation is prepared by reputable law firms, and Crowdberry's experienced investment team negotiates fair terms for investors.

Local economy

Local capital belongs in local companies and real estate too

On Crowdberry, you invest in Slovak and Czech companies and projects. When you become a co-owner, your money works at home.

  • Company growth

The capital funds expansion, larger production or new products.

  • Jobs

Growing companies and new projects employ people and move the economy forward.

  • A share of the returns

In return, you share in their growth – through dividends or the sale of your stake.

Neither the company's success nor returns are guaranteed.

  • Direct access to private companies

You invest directly in private companies and projects that ordinary investors can't reach – no fund, no intermediate layers.

  • Liquidation preference

When a company or project is sold, investors with preferred status are paid out first.

  • Returns from dividends or an exit

Ongoing dividends, growth in the value of your stake at exit, or a combination of both – depending on the specific investment.

  • Aligned owner interests

Founders and management remain co-owners. Under the documentation, their reward is tied to the results they achieve together with investors.

  • Investor representation

Crowdberry represents investors in the company they invest in for the entire holding period.

  • Liquidity before exit

You can offer your investment for sale at any time before exit on the Crowdberry secondary market. We prepare the contractual documentation.

Liquidation preference

A standard part of every investment's terms and an important investor protection mechanism: if things go badly, investors with a preference are paid out first. In a successful exit, the proceeds are split according to ownership stakes.

What it is
An entitlement, anchored in the transaction documentation, for investors to be paid out first when a company or project is sold or another liquidity event occurs. An investor with a liquidation preference receives their investment – and possibly an agreed return – before the other co-owners.
How it works
The payout order among co-owners: investors with a liquidation preference first, only then the other co-owners. The exact parameters are set by the documentation of each investment.
What it isn't
It is not a guarantee of returns or of getting your investment back. If a company is sold or another liquidity event occurs while the company or project is in a very unfavourable position with no other alternative, the proceeds may not even cover the return of the investments.

Example: how a liquidation preference works

An investor with a simple liquidation preference (1× investment) invested €4m and holds 25% of the company. The other co-owners hold 75%.

Investor 25%Other co-owners 75%

ACompany sold for €8m

Based on a 25% stake, the investor would receive
€2m
With the liquidation preference, the investor receives
€4m

The liquidation preference secures the return of the full €4m investment, even though the 25% stake alone would entitle the investor to only €2m.

BCompany sold for €20m

Based on a 25% stake, the investor receives
€5m
Liquidation preference (amount invested)
€4m

Favourable scenario: the value of the stake exceeds the preference, so the preference does not apply. The investor achieves a 25% return (€5m on a €4m investment).

Illustrative example.

What you invest in: companies and real estate

Two segments, two risk profiles. The mechanics of an equity investment are the same – what differs is the source of returns, the horizon and the risks we assess during selection.

Co-ownership vs. Lending

Two forms of financing for companies' different needs – depending on their life-cycle stage, business model, strategy and the purpose of the capital. Sometimes equity is the better fit, sometimes a loan.

How it works

From registration to returns – the whole process takes place online.

  1. 1

    Registration and verification

You create an account, verify your identity and fill in the investment questionnaire.

  2. 2

    Non-binding interest

You express interest in an opportunity – with no obligation and no fee.

  3. 3

    Binding confirmation

You choose the amount and confirm the investment (on your first investment, together with the AML questionnaire).

  4. 4

    Contract and payment

You sign the contract electronically and pay by bank transfer.

  5. You become an investor

Once the investment closes, you become a lender to or a co-owner of the company. You receive regular reports and vote online.

%

Your return by investment type

  • Dividends and exit

As a co-owner, you share in the company's success – through dividends, the sale of your stake or an exit of the whole company.

  • Interest and principal

As a lender, you receive regular interest and the company repays the principal you lent.

Protection and oversight after you invest

It doesn't end with the investment. Typical mechanisms we negotiate on investors' behalf when entering a deal:

Key decisions
Investor representation in the company's governing bodies. You vote on key decisions through your investor account at Crowdberry.
Regular reporting
Ongoing information on financial performance and project progress.
Conditional release of capital
Capital is released once the agreed transaction conditions are met.
Technical supervision
Independent construction oversight for real estate projects.

The mechanisms are deal-specific – their exact scope is always defined by the documentation of the investment.

Digital, with no notary

  • Online verification

Registration and identity verification happen online – no branch visit or notary needed.

  • Asset account

You hold your securities in an asset account directly at Crowdberry – no need to open an account with third parties.

  • Digital record of your securities

Your securities are held in book-entry form at the Central Securities Depository Prague, a subsidiary of the Prague Stock Exchange.

Liquidity before exit

“Money locked up for years”is the most common concern with equity investments. You can, however, put your investment or stake in a company up for sale on the Crowdberry secondary market.

Once you agree on a sale with a buyer, we prepare the complete contractual documentation to carry it out. Counterparties find each other – Crowdberry does not broker the trade.

More about secondary trading
  1. 1You agree on the price and transfer with the counterparty
  2. 2Crowdberry prepares the contractual documentation
  3. 3The stake is transferred and the record at the central securities depository is updated

Fees

Transparent and upfront. These are the rates from our fee schedule – you'll find the exact fees for each opportunity in its investment documentation.

Full fee schedule
Cost contribution
up to 3%
Of the amount invested, paid once with your investment. It covers the costs of administering the investment for its whole duration.
Intermediation fee
up to 10%
Of the amount invested. Crowdberry may waive it or pass it on to the company you invest in – if you pay it, you'll see it in the investment documentation.
Profit share
12–18%
Of the profit, only if the investment makes money. You get the amount you invested back without any fee.

Investing in equity carries risks

The value of an investment can fall as well as rise. Neither the return of your investment nor the target return is guaranteed, and an investment may end in the loss of the entire amount invested. Only invest funds whose loss would not threaten your financial health.
